Terms of Service

Last updated September 2026

These Terms of Service ("Terms") govern your access to and use of Propaide, including our website, applications and related services (together, the "Service"), provided by Propaide ("Propaide", "we", "us" or "our"). By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

1. The Service

Propaide is job management software for property teams, helping you manage maintenance requests, contractors, work orders and tenant communication in one platform. We may add, change or remove features from time to time, and we will try to give reasonable notice of any change that materially reduces the Service's functionality.

2. Accounts

You must create an account to use most of the Service. You agree to provide accurate, current information, to keep your login credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account, whether or not you authorized it, except to the extent caused by our breach of these Terms.

Accounts may be created and managed on our behalf by our authentication provider. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.

3. Subscriptions, billing and trials

Paid plans are billed in advance on a recurring basis (monthly or annually, as selected at checkout) until cancelled. Fees are shown before you complete checkout and are charged using the payment method you provide. Except where required by law or stated otherwise, fees are non-refundable.

If we offer a free trial, your paid subscription will begin automatically at the end of the trial unless you cancel before it ends. We may change our pricing on a going-forward basis; we will give you reasonable advance notice before any price change applies to your subscription.

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the then-current billing period, and you will retain access to the Service until that date.

4. Customer data

"Customer Data" means the information you or your team submit to the Service, such as property, work order, contractor and tenant records. You retain all rights to your Customer Data. You grant us a limited license to host, process and display Customer Data solely to provide and improve the Service, and as otherwise described in our Privacy Policy.

You are responsible for the accuracy and legality of the Customer Data you submit, including obtaining any consents needed to share tenant or contractor information through the Service.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law;
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks;
  • Interfere with or disrupt the integrity or performance of the Service, including through malware, scraping at scale, or excessive automated requests;
  • Reverse engineer, decompile or attempt to extract the source code of the Service, except where applicable law permits it;
  • Resell, sublicense or provide the Service to third parties outside your organization without our written consent.

6. Intellectual property

We own all right, title and interest in the Service, including its software, design and branding, excluding your Customer Data. Nothing in these Terms transfers any of our intellectual property rights to you, except for the limited right to use the Service as permitted under these Terms.

7. Third-party services

The Service may integrate with or link to third-party services (for example, payment processors or authentication providers). We are not responsible for the practices or content of third-party services, which are governed by their own terms and privacy policies.

8. Confidentiality

Each party may access non-public information about the other in connection with the Service ("Confidential Information"). Each party agrees to use the other party's Confidential Information only to perform its obligations under these Terms and to protect it using at least the same degree of care it uses for its own confidential information, and no less than reasonable care.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or completely secure.

10. Limitation of liability

To the maximum extent permitted by law, Propaide will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or related to your use of the Service. Our total liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold Propaide harmless from any claims, damages or expenses (including reasonable legal fees) arising from your Customer Data, your breach of these Terms, or your violation of applicable law.

12. Termination

We may suspend or terminate your access to the Service if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately if required to prevent harm to the Service or other users. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10 and 11) will survive.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Propaide is established, without regard to conflict-of-law principles, unless a different governing law is required by applicable law in your jurisdiction.

15. Contact
